TERMS OF SERVICE AND MUTUAL AGREEMENT
Summary
You are hiring us, Internet Media Consultants, LLC, located in Littleton, Colorado, to design and develop a website for the estimated total price as outlined in our proposal. You may also have added to your project certain marketing services or software that accompany the website to assist in marketing.
“MoreRealEstateLeads.com” is a trademark of Internet Media Consultants, LLC, and may also refer to proprietary software used to create Websites and related products.
What Do Both Parties Agree To Do?
As our customer, you have the power and ability to enter into this contract on behalf of your company or organization. You agree to provide us with everything that we’ll need to complete the project – including text, images and other information – as and when we need it and in the format we ask for. You agree to review our work, provide feedback and approval in a timely manner. Deadlines work two ways and you’ll also be bound by any dates that we set together. You also agree to stick to the payment schedule set out at the end of this contract.
We have the experience and ability to perform the services you need from us and we will carry them out in a professional and timely manner. Along the way we will strive to meet all the deadlines set but we can’t be responsible for a missed launch date or a deadline if you have been late in supplying materials or have not approved or signed off our work on-time at any stage. On top of this we’ll also maintain the confidentiality of any information that you give us.
Design
When we are designing your website, we start with our pre-designed themes that you select one from the portfolio. We’ll then modify the website for the look-and-feel, layout and functionality of your requirements, depending on the package you have selected. This contract includes one main design plus the opportunity for you to make up to two rounds of revisions. If you’re not happy with the designs at this stage, you will pay us in full for all the work that we have produced until that point and you may either cancel this contract or continue to commission us to make further design revisions at our standard design rates.
Standard Website License
The WEBSITE is licensed to the Client, and grants you a non-exclusive, non-transferrable right to make use of the website, and all included SOFTWARE applications, only on MoreRealEstateLeads.com or Internet Media Consultants servers. This license does not allow the transfer of files to another host or server. The Website is protected by copyright laws and intellectual property laws. Internet Media Consultants retains all rights not expressly granted to you in this license.
Copyrights
You guarantee to us that any elements of text, graphics, photos, designs, trademarks, or other artwork that you provide us for inclusion in the website are either owned by you, or that you have permission to use them. We call this Unique Client Content. We own the markup, CSS and other code and we license it to you for use on only this project. We love to show off our work and share what we have learned with other people, so we reserve the right to display and link to your completed project as part of our portfolio and to write about the project on websites, in magazine articles and in books about web design.
Changes and Revisions
The estimated prices at the beginning of this document are based on the amount of work we estimate we’ll need to accomplish everything that you have told us you want to achieve. If you do want to change your mind, add extra pages or templates or even add new functionality, that won’t be a problem. However, you will be charged accordingly and these additional costs will need to be agreed to before the extra work commences. This additional work will affect deadlines and they will be moved accordingly.
Payments for Set Up and Hosting
You will be required to pay for your set up fees before work begins on the project, either in full or a 50% deposit. This will be determined before work begins.
Monthly payments are for activation and availability of services, regardless of Client’s actual usage, including, but not limited to, server usage, website technology provided by MoreRealEstateLeads.com, Internet Media Consultants or another third party through which fees are passed through the Client, such as IDX. Cancellation
Cancellation of all services and products of Internet Media Consultants must be done via e-mail at [email protected] , at least thirty (30) days prior to the next scheduled billing date.
